SUMMARY:Annual General Meeting - Venue Of The New Regime In Corporate Governance
DESCRIPTION:Many changes have come into enforcement on 31st January 2017 with the introduction to the Companies Act\, 2016 upon Royal assent being given on 31st August 2016 and the said Act was gazetted on 15th September 2016. \nAmong them\, the decoupling of the annual general meeting and the lodgement of the audited financial statements for the year. \nOne significant move was the abolition of the need to convene an annual general meeting for private company limited by shares\, the option on the need to have a Constitution (formerly being the Memorandum and Articles of Association) and the no par value regime for shares being issued. \nAs for public company limited by shares\, there is still the compulsory requirement to convene an annual general meeting to lay the audited financial statements as before within the stipulated period of not more than six months from the financial year end\, subject to any other regulations that may be imposed by Bursa or Securities Commission Malaysia. \nAre there any peculiar issues still remaining as such or is there a new level playing field for the Board to take note of? These are some of the pertinent questions as to what are the provisions of the laws for the requirement for public companies to hold annual general meeting and the matters to be transacted at such meetings and the timeframe for the holding of annual general meetings. \n4 CEP Hours\nFee is inclusive of 6% GST.\n\n\nPresenter's Profile\n\n\nMr. Heng Chiang Pooh\, FCIS \nMr. Heng is a Fellow of The Institute of Chartered Secretaries and Administrators (ICSA\, UK). He is also a corporate practitioner providing corporate secretarial services\, project consultancy and setting up joint ventures. \nMr. Heng authored a number of books\, manual and articles related to his field. His vast working experience was accumulated and drawn from serving his clients in many foreign countries in Asia\, America and Europe. He also gives lectures and speaks at various seminars on corporate interests organized by professional bodies as well as authorized regulators. \nPresently\, he serves on the panel of the Advocates & Solicitors’ Disciplinary Board\, The Malaysian Bar and sits in as Academic Advisor (Industries) on the Academic Advisory Panel of University Selangor (“UNISEL”). He was one of the Reviewers and Chief Examiners on the Board of Examiners of ICSA\, UK; University of Malaya (UM) and Open University Malaysia (OUM) / Universiti Terbuka Malaysia (UNITEM). He received a Certificate of Appreciation from the Institute of Chartered Accountants in 2009\, Australia and is the first Malaysian to be awarded Certificate of Recognition from the said Institute for his contributions in 2010. \nHe used to give lectures at universities and speaks at various seminars on corporate interests organized by professional bodies such as Malaysia Institute of Accountants (MIA)\, Institute of Chartered Accountants\, Australia (ICAA) and Malaysian Association of Company Secretaries (MACS)\, as well as authorized regulators such as Bursa Malaysia Securities Berhad and Securities Commission under the Mandatory Accreditation Programme and Continuing Educational Programme as well as the Corporate Directors Training Programme conducted under the Companies Commission of Malaysia. \nHe served as Councilor in MAICSA in 2002-4 and 2011-13 and headed the Law Review Committee\, Disciplinary Committee and Editorial Committee as the chairman respectively. \n\n\n\n\n \nRecurring Date 2018: 04 June.\nDownload Brochure  Annual General Meeting - Venue Of The New Regime In Corporate GovernanceFile size: 235 KB
